General Terms and Conditions (AGB)<\/h1>\n

1. Scope of application<\/h4>\n

These General Terms and Conditions (GTC) apply to all business relationships between fortysix GmbH<\/strong>, Vittorio Veneto Street 67, 39042 Brixen (BZ), Italy (hereinafter “fortysix”), and its customers (hereinafter “Customer”).<\/p>\n

The GTC apply to all services provided by fortysix, in particular:<\/p>\n

    \n
  • Development of individual software solutions<\/li>\n
  • Web, mobile and desktop applications<\/li>\n
  • Platform and backend development<\/li>\n
  • Digitization consulting and software architecture<\/li>\n
  • Integration of cloud, API and AI systems<\/li>\n
  • Maintenance, support and further development of software<\/li>\n<\/ul>\n

    Any deviating terms and conditions of the customer shall only apply if fortysix has expressly agreed to them in writing.<\/p>\n

    These GTC are primarily aimed at entrepreneurs within the meaning of the applicable statutory provisions.<\/p>\n

    2. Conclusion of contract<\/h4>\n

    A contract is concluded by:<\/p>\n

      \n
    • Written acceptance of the offer by the customer<\/li>\n
    • or written order confirmation by fortysix<\/li>\n<\/ul>\n

      Offers from fortysix are subject to change and non-binding, unless expressly stated otherwise.<\/p>\n

      3. Scope of services<\/h4>\n

      The specific scope of services is set out in the respective offer, project contract or an agreed service description.<\/p>\n

      fortysix undertakes to perform the agreed services in a professional manner in accordance with the current state of the art.<\/p>\n

      Project services may include in particular<\/p>\n

        \n
      • Requirements analysis<\/li>\n
      • Concept and architectural planning<\/li>\n
      • Software development<\/li>\n
      • Integration of external systems<\/li>\n
      • Testing and quality assurance<\/li>\n
      • Deployment and implementation<\/li>\n
      • Technical advice and support<\/li>\n<\/ul>\n

        4. Changes to the scope of services (change requests)<\/h4>\n

        The customer may request changes or extensions to the agreed scope of services at any time.<\/p>\n

        fortysix checks the feasibility and possible effects on the schedule and costs.<\/p>\n

        Amendments shall only become part of the contract after written confirmation by both parties.<\/p>\n

        5 Obligations of the customer to cooperate<\/h4>\n

        The customer undertakes to provide all information, data and access required for the implementation of the project in good time.<\/p>\n

        These include in particular<\/p>\n

          \n
        • Technical specifications<\/li>\n
        • Named contact persons with decision-making authority<\/li>\n
        • Necessary access to systems or infrastructure<\/li>\n<\/ul>\n

          Delays due to a lack of cooperation can lead to a corresponding adjustment of the project deadlines.<\/p>\n

          6 Prices and terms of payment<\/h4>\n

          Unless otherwise stated, all prices are exclusive of VAT.<\/strong><\/p>\n

          Unless otherwise agreed:<\/p>\n

            \n
          • Invoices are payable within 14 days without deduction<\/strong> <\/li>\n
          • Partial payments can be agreed for larger projects<\/li>\n
          • statutory default interest may be charged in the event of late payment<\/li>\n<\/ul>\n

            fortysix shall be entitled to suspend services until outstanding claims have been settled.<\/p>\n

            7. Project deadlines<\/h4>\n

            Project deadlines are only binding if they have been expressly agreed in writing.<\/p>\n

            Deadlines are extended appropriately in the case of:<\/p>\n

              \n
            • Changes to the scope of services<\/li>\n
            • delayed cooperation of the customer<\/li>\n
            • technical problems outside the sphere of influence of fortysix<\/li>\n<\/ul>\n

              8. Acceptance<\/h4>\n

              If agreed, acceptance by the customer shall take place after completion of the services.<\/p>\n

              The customer undertakes to inspect the services provided within 14 days<\/strong> and to report any defects in writing.<\/p>\n

              If no response is received within this period, the service shall be deemed to have been accepted.<\/p>\n

              9. Open source software<\/h4>\n

              fortysix can use open source software or freely available libraries for software development.<\/p>\n

              These components are subject to the respective license conditions of the corresponding open source licenses.<\/p>\n

              fortysix accepts no liability for the functionality, security or further development of such third-party components.<\/p>\n

              10. Rights of use<\/h4>\n

              After full payment, the customer receives the agreed rights of use to the developed software.<\/p>\n

              Unless otherwise agreed:<\/p>\n

                \n
              • the customer receives a simple right of use<\/li>\n
              • disclosure to third parties requires the consent of fortysix<\/li>\n
              • Libraries and third-party software are subject to their respective license conditions<\/li>\n<\/ul>\n

                fortysix reserves the right to reuse project work or technologies in anonymized form.<\/p>\n

                11. Third-party services<\/h4>\n

                Third-party services may be used for certain services, such as cloud providers, hosting services or external APIs.<\/p>\n

                In such cases, the respective terms of use of these providers also apply.<\/p>\n

                fortysix is not liable for failures or restrictions of such third-party providers.<\/p>\n

                12. Data backup<\/h4>\n

                The customer is responsible for the regular backup of his data, unless a separate backup agreement exists.<\/p>\n

                fortysix shall not be liable for any loss of data caused by missing or inadequate data backups.<\/p>\n

                13. Warranty<\/h4>\n

                fortysix guarantees that the services essentially correspond to the agreed specification.<\/p>\n

                Obvious defects must be reported in writing within 14 days<\/strong> of delivery.<\/p>\n

                fortysix has the right to:<\/p>\n

                  \n
                • Rework<\/li>\n
                • or compensation<\/li>\n<\/ul>\n

                  14. Liability<\/h4>\n

                  fortysix is only liable for damages caused by intentional or grossly negligent behavior.<\/p>\n

                  In the event of slight negligence, fortysix shall only be liable in the event of a breach of material contractual obligations and limited to typically foreseeable damage.<\/p>\n

                  Liability for:<\/p>\n

                    \n
                  • Indirect damage<\/li>\n
                  • lost profit<\/li>\n
                  • Data loss<\/li>\n<\/ul>\n

                    is excluded to the extent permitted by law.<\/p>\n

                    15. Confidentiality<\/h4>\n

                    Both parties undertake to treat all confidential information received in the course of the cooperation as confidential.<\/p>\n

                    This obligation shall also apply after the end of the cooperation.<\/p>\n

                    16. Reference citation<\/h4>\n

                    fortysix shall be entitled to use completed projects for reference purposes on its own website or in presentations, stating the customer’s name and a brief description of the project, unless the customer expressly objects to this.<\/p>\n

                    17. Data protection<\/h4>\n

                    Personal data is processed in accordance with the applicable data protection regulations, in particular the EU General Data Protection Regulation (GDPR<\/strong>).<\/p>\n

                    Further information can be found in the website’s privacy policy.<\/p>\n

                    18 Contract duration and termination<\/h4>\n

                    Unless otherwise agreed, current contracts can be terminated with 30 days’<\/strong> notice to the end of the month<\/strong>.<\/p>\n

                    The right to extraordinary termination for good cause remains unaffected.<\/p>\n

                    19 Applicable law and place of jurisdiction<\/h4>\n

                    The law of the Italian Republic<\/strong> shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.<\/p>\n

                    The place of jurisdiction for all disputes arising from this contractual relationship is, as far as legally permissible, Bolzano (South Tyrol), Italy.<\/strong><\/p>\n

                    20. Final provisions<\/h4>\n

                    Should any provision of these GTC be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions.<\/p>\n

                    The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the original provision.<\/p>\n
